This document describes the cloud services available from Works Applications Corporation ("Works Applications") for the use of HUE Works Suite Project Board ("Project Board"). In order to use Project Board, you are required to agree to the contents of this document and "Terms of Service for HUE Works Suite / HUE Works Suite DX Solutions" (hereinafter referred to as "Terms of Service").

In the event of any discrepancy between this document and the Terms of Service, the Terms of Service shall prevail.

In the event of any discrepancy between the terms of service and those previously presented, the most recent version of the terms of service will always take precedence.

Project Board is an online shared project progress management service. It is equipped with Gantt chart and Kanban functions, which are commonly used in project management, and supports collaboration with teams, organizations, and external users to improve work efficiency.

Project Board is a service for corporations, organizations, or individuals.

Project Board can be used jointly by inviting external users as guest users. However, any and all acts related to the use of Project Board by such external users shall be deemed to be acts by you, and you shall be liable to us for any and all violations of the Terms of Service and this Service Specification by such external users as violations by you.

Project Board provides the following functions. In addition, we will provide the initial construction work (construction of the usage environment and creation of an administrator account).

The specifications, quality, and all other details of the following functions and initial setup work shall be determined by the Company at its own discretion.

Guest users can only use the functions within the project to which they are invited. Guest users cannot be granted administrative privileges or become project administrators.

You will receive an access URL and initial login ID for the administrator account at the e-mail address you registered at the time of application within a week or so after your application.

We will send the function manual, administrator manual, and an e-mail address for inquiries to the e-mail address you registered with us. If you have any questions, please contact us at the email address below and we will reply within 3 business days.

Standard Service

[In case of monthly contract]
Monthly fee: 960 yen (excluding tax) per license
*The initial monthly fee includes the cost of initial construction (construction of the usage environment).

[In case of annual subscription]
Annual fee: 9,600 yen (excluding tax)/license
*Two months of the monthly fee will be discounted.
The initial annual fee includes the initial construction (construction of the usage environment) cost.

• There is a capacity limit of "Number of contracted licenses x 10GB". The capacity limit is the total amount available to all users.
• The number of Project Board licenses is the total number of general user accounts and guest user accounts.
• Usage fees will be charged for the number of licenses subscribed. Licenses are automatically granted according to the account status, and if the account status is valid, the license is granted.

Calculation Method

[In the case of a monthly contract]

• The fee will be charged from the date of commencement of use of the service as stipulated in the Terms of Service.
• The fee for the current month is determined based on the number of licenses subscribed to at the end of each month.
• If the Service start date is in the middle of a month, the usage fee for that month will be calculated on a pro-rata basis.

Usage fee for the month = {monthly usage fee - (monthly usage fee x number of days not used ÷ number of calendar days) } x number of contracted licenses
* The number of days from the first day of the month to the day before the Service start date is the "number of days not used.

• If the number of licenses is added in the middle of the month, the fee for the additional licenses will be calculated on a pro-rated basis.

Usage fee for additional licenses = {Monthly usage fee - (Monthly usage fee x number of days not used ÷ number of calendar days)} x number of additional contracted licenses

• The pro-rata calculation will be made by multiplying first and dividing second, with decimal points rounded to the nearest whole number.
• In the event that the subscription agreement is terminated in the middle of the subscription period, the usage fee will not be reduced or refunded on a pro-rata basis, and the usage fee will be charged from the date of termination of the subscription agreement until the expiration of the subscription period if the subscription agreement is not terminated.

[In the case of an annual subscription].

• Fees shall accrue from the date of commencement of use of the Service as set forth in the Terms of Service.
• The usage fee for the following subscription period will be determined based on the number of licenses as of the end of the month prior to the month in which the subscription expiration date falls (hereinafter referred to as "month of expiration").
• If the Service start date is in the middle of a month, the usage fee for the first year will be the amount obtained by adding to the annual usage fee the amount obtained by multiplying the monthly usage fee (calculated on a pro-rata basis (first multiply, last divide, rounded to the nearest whole number)) by the discount rate for two months (rounded to the nearest whole number).

• If the number of licenses is added after the Service start date, the initial fee for the additional licenses shall be the monthly fee multiplied by the discount rate for two months (rounded to the nearest whole number) multiplied by the usage fee for the additional month (or the monthly fee pro rata (multiplied first, rounded to the nearest whole number) if added in the middle of the month), and then by the monthly fee plus the discount rate for the month following the month of addition. (If the additional month falls in the month of expiration of the contract period, the annual usage fee for the contract period following the month of addition shall be the annual usage fee for the contract period following the month of addition), multiplied by the number of months from the month following the month of addition to the month of expiration of the contract period, multiplied by the discount rate for 2 months (rounded to the nearest whole month), and paid in a lump sum.

Initial usage fee for additional licenses = (1) + (2) = 1,001,300 yen (excluding tax) (due on the last day of January of the following year, which falls in the following month)

• In the event that the subscription agreement is terminated in the middle of the contract period, the usage fee will not be reduced or refunded on a pro-rata basis, and the usage fee from the date of termination of the subscription agreement to the date of expiration of the contract period if the subscription agreement is not terminated will also accrue.

Payment Terms

Payment can be made either by invoice or credit card (for monthly subscriptions only).

Bill Payment]
[In case of monthly subscription].

• The closing date is the last day of each month, and payment is due on the last day of the following month (deferred payment).
• Payment instructions will be sent within 8 business days of the month in which payment is due.

[In the case of an annual subscription].

• Payment for the next year is due on the last day of the month prior to the month in which the contract expires (advance payment).

• The payment due date for the first year will be the last day of the current month if the service start date is the first day of the month, or the last day of the following month if the service start date is in the middle of the month.

• The first payment for additional licenses will be due at the end of the month following the month in which the additional licenses are added. From the next fiscal year onward, the fee will be added to the number of existing licenses and the next year's fee will be due on the last day of the month prior to the month in which the contract expires (payment in advance).

Billing will be made in the manner prescribed by the Company.

Credit card payment (with invoice)

[In the case of a monthly contract]

• The first invoice amount will be settled at the same time as the official registration for credit card payment is completed.
• After the second payment, payment instructions will be sent on the 1st of each month and settlement will take place on the 8th of the month.
• The billing amount for additional licenses will be settled for the current month at the same time as the registration for additional licenses is completed, and the billing and settlement will be combined with the existing licenses for the following month and thereafter.

*Billing is done through the "Payments" ("Payments") service by Stripe Japan K.K. ("Stripe").

*You agree that we may make credit card payments through Payments on your behalf and that such credit card payments will be processed by Stripe and Stripe's affiliates around the world.

The revised specifications shall be effective as of November 22, 2024.
