This document describes the cloud services that Works Applications, Inc. ("Works Applications") can provide to you when you use HUE Works Suite Project Room ("Project Room"), In order to use Project Room, you must agree to these Terms of Use and the "HUE Works Suite / HUE Works Suite DX Solutions Terms of Use".

In the event of any discrepancy between this document and the Terms of Service, the Terms of Service shall prevail.

In the event of any discrepancy between the terms of service and those previously presented, the most recent version of the terms of service will always take precedence.

Project Room is a project communication service for corporate clients. In addition to the basic functions commonly used in communication services, it is equipped with file management functions to support efficient project promotion through team and project collaboration.

• Project Room is a service for corporate clients. Use of this service is limited to corporations (including public institutions).
• You may invite external users to use Project Room as guest users. However, any and all acts related to the use of Project Room by such external users shall be deemed to be acts by you, and you shall be liable to us for any and all violations of the Terms of Service and these Specifications by such external users.

Project Room provides the following functions We will also provide the initial setup work (environment setup and administrator account creation).

The specifications, quality, and all other details of the following functions and initial setup work shall be determined by the Company at its own discretion.

Guest users can only use the functions within the project to which they are invited. Guest users cannot be granted administrator privileges or become project administrators through privilege management.

You will receive an access URL and initial login ID for the administrator account at the e-mail address you registered at the time of application within a week or so after your application.

• If you are using the trial service, you can continue to use the account and data (hereinafter referred to as "data, etc.") that you created when using the trial service. If you wish to continue using the trial service, please allow about one day of downtime for data migration. If you use this service without transferring data, etc. from the Trial Service, there will be no downtime.

We will send the function manual, administrator manual, and an e-mail address for inquiries to the e-mail address you registered with us. If you have any questions, please contact us at the email address below and we will reply within 3 business days.

Standard Service

[For monthly contract]
Monthly fee: 1,300 yen (excluding tax)/license
Initial monthly fee includes the initial setup (environment setup) cost.

[For annual subscription]
Annual fee: 13,000 yen (excluding tax)/license
Two months of the monthly fee will be discounted.
The initial annual fee includes the initial construction (construction of the usage environment) cost.
There is a capacity limit of "contracted number of licenses x 10GB. The capacity limit is the total amount of space available to all users.
The number of Project Room licenses is the total number of general user accounts ("general accounts") and guest user accounts ("guest accounts").
Fees will be charged for the number of licenses subscribed to. The license grant status and the status (enabled/disabled) of the licensed accounts are not affected.

Various administrators can be created without requiring the granting of licenses.

Example: A subscription agreement for 100 licenses has been concluded, and 95 accounts have been granted Project Room licenses, and 10 unlicensed accounts are registered that are scheduled to start using the service in the next month. One account is registered for each of the privilege administrator and account administrator, and none of them has been granted a license.
→The number of registered accounts is 95 (Project Room user's account) + 10 (accounts scheduled to start using in the next month) + 1 (privileged administrator's account) + 1 (account administrator's account) = 107
The number of granted licenses is 95 (Project Room user), and the number of granted Since the number of licenses (95) does not exceed the number of contracted licenses (100), the usage fee will be charged for 100 licenses, the number of contracted licenses.

At this point, the number of licenses granted to Project Room users is 95, so the number of licenses is within the contracted number of licenses. However, if 10 accounts are granted licenses as Project Room users as scheduled from the next month, the number of granted licenses will be 105, which exceeds the contracted number of licenses (100), so it is necessary to conclude an additional subscription agreement for at least 5 additional licenses in advance.

Calculation Method

[In the case of monthly subscription]
Usage fee will be charged from the date of start of the service as specified in the Terms of Service
Usage fee for the month will be fixed according to the number of licenses subscribed at the end of each month
If the start date of the service is in the middle of the month, usage fee for the month will be calculated pro rata
Usage fee for the month = {Monthly usage fee (Monthly fee x number of days not used ÷ number of calendar days)} x number of licenses
* "Number of days not used" is defined as the number of days from the first day of the month to the day before the Service start date.

If you start using 100 licenses on January 16
January 16 - January 31 (for 16 days)
= {1,300 yen - (1,300 yen x 15 days / 31 days)} x 100 licenses
= 671 yen x 100 licenses
= 67,100 yen (excluding tax)
If you add licenses during the month If the number of licenses is added in the middle of the month, the fee for the additional licenses will be calculated on a pro-rated basis.

Pro-rata calculation is based on the first power divided by the last, with decimal points rounded off.
In the event of termination of the subscription during the subscription period, the usage fee will not be reduced or refunded on a pro-rata basis, and the usage fee from the date of termination until the expiration date of the subscription period if said subscription is not terminated.

[In the case of an annual subscription]
Usage fees will be charged from the date of commencement of use of the Service as stipulated in the Terms of Use
Usage fees for the following subscription period will be determined based on the number of licenses as of the end of the month prior to the month in which the subscription period expires (hereinafter "Expiration Month")
When the subscription period begins in the middle of a month, The fee for the first year is the amount obtained by multiplying the monthly fee (calculated on a pro-rata basis (rounded to the nearest whole number)) by the discount rate for two months (rounded to the nearest whole number), and adding the result to the annual fee.

In the case of starting the use of 100 licenses on January 16 (the contract period for the first year is from January 16 to the end of January the following year, and the contract period for the following year and thereafter is from February 1 to the end of January the following year)

In the event of termination of the subscription agreement in the middle of the subscription period, the usage fee will not be reduced or refunded on a pro-rata basis, and the usage fee will be charged from the date of termination of the subscription agreement to the expiration date of the subscription period in the event that the subscription agreement is not terminated.

Payment Terms

[Invoice payment

[In the case of a monthly subscription, the fee is due on the last day of each month and paid on the last day of the following month (deferred payment).

[In the case of an annual subscription]
The closing date is the last day of the month prior to the month in which the subscription expires, and payment for the following year is due on the last day of the month in which the subscription expires (payment in advance).

Example]
If the contract period is from January 1 to December 31, the billing amount will be determined on the last day of November, the month prior to the expiration month, and payment for the following year will be due by the last day of December, the month in which the contract period expires.
(The payment due date for the first year is the last day of the current month if the service start date is on the first day of the month, or the last day of the following month if the service start date is in the middle of the month.

Example]
If the Service start date is January 1, 2022, the contract period for the first year will be from January 1, 2022 to December 31, 2022, and the usage fee will be finalized on December 31, 2021, and payment will be due at the end of January 2022.
If the start date of this service is January 16, 2022, the contract period for the first year is from January 16, 2022 to January 31, 2023, and the closing date for the usage fee is January 15, 2022, and the payment date is the end of February 2022.
The first fee for additional licenses will be due at the end of the month following the month in which the additional licenses are added. The fee for the next and subsequent years will be paid in advance by adding up the number of existing licenses and setting the closing date as the last day of the month prior to the month in which the contract term expires.

If the contract period is from January 1 to December 31 and you have already used 500 licenses, and you add 200 licenses on October 10, 2022, the initial fee for the additional 200 licenses (pro-rated for October 2022 + November 2022 The next payment for FY2023 will be combined with the payment for FY2023 for the existing 500 licenses and the annual usage fee will be paid at the end of December 2022.

[If the month of addition falls on the month of expiration of the contract period]
If the contract period is from January 1 to December 31 and you have already used 500 licenses, and you add 200 licenses on December 10, 2022, the initial usage fee for the additional 200 licenses (prorated for December 2022 + January 2023 to The next payment for fiscal year 2024 will be combined with the payment for fiscal year 2024 for the existing 500 licenses and the annual usage fee will be paid at the end of December 2023.
Billing will be done by our designated method.

In providing Project Room, the service provided by Zoom Video Communications, Inc. ("Zoom") is used in the Zoom integration within the calendar function. In using Zoom integration, you will be required to follow the "ZOOM TERMS OF SERVICE" (if the name or content of the service has been changed, the new name and content will be used) as specified by Zoom. The latest version can be found at https://zoom.us/terms.) Zoom agrees to and shall comply with the terms and conditions of the "ZOOM TERMS OF SERVICE" (the "ZOOM TERMS") which the End User is required to comply with.
