Notice of Reorganization due to Merger of Group Subsidiaries

(headquartered in Chiyoda-ku, Tokyo; Naoki Inoue, CEO; hereinafter "Works") announced today that its subsidiaries, Worksystems Corporation (headquartered in Chuo-ku, Tokyo; Naoki Inoue, President; hereinafter "Worksystems") and Japan (headquartered in Chuo-ku, Tokyo; Mitsuhiko Nishizaki, President; hereinafter referred to as "Japan Infoview").
Notation
1. Summary of the Merger
On June 29, Works acquired all shares of Nihon Infoview from its subsidiary IVTL INFOVIEW TECHNOLOGIES PVT. LTD, making it a subsidiary. On July 1, an absorption-type merger will be executed with Worksystems as the surviving company and Nihon Infoview as the dissolving company, and the new company will begin operations as Works Applications Systems Corporation ("WAPS").
2. Purpose of the Merger
WAPS will engage in the SI Services business, including support for the introduction of packaged products from WAPS and other group companies, development outsourcing services, and IT consulting services, including proposals for business improvement. Infoview Japan has been engaged in the SI services business, including software development and maintenance, including collaboration with offshore development bases. On the other hand, Works Applications Group conducts in-house development, sales, and maintenance of ERP package software. In addition to this, the Group has been working to solve customer resource issues by providing outsourcing services such as BPO, accelerating the digitization of business processes, communication, and knowledge by expanding its SaaS lineup, and enhancing its ecosystem, including strengthening alliances with other companies. In addition, we aim to provide one-stop solutions that can contribute to solving a wide range of end-to-end (E2E) customer issues by strengthening alliances with other companies. Against this backdrop, the two companies have been integrated to develop and strengthen the following businesses as WAPS.
(1) SI service business
Contracting and outsourcing of various projects from system requirement definition, design, and development to maintenance and operation
2) Partner and alliance business
Sales of third-party hardware and software
Partner programs for business partners, sales of Group products, and promotion of collaboration
3) Business improvement consulting services business
Business Process Improvement (BPR), IT/DX strategy formulation support, business cost reduction support, performance management sophistication support, IT system planning support (RFP preparation, PMO, etc.)
