Notice of Transition to Holding Company Structure

("Works" or "the Company") will transition to a holding company structure by means of a company split effective April 1, 2021 (scheduled), and will transfer its existing businesses, including the HUE AC series, Ariel series, HUE Classic series, and the SaaS services, HUE AC, Ariel, and HUE Classic series, to a holding company structure. The rights and obligations held by the Company with respect to Works' existing businesses, namely the HUE AC series, Ariel series, HUE Classic series, SaaS service HUE Works Suite series and HUE Works Suite DX Solutions series, and the rights and obligations held by the Company with respect to the HUE SCM business will be transferred to a wholly owned subsidiary of Works, as follows The Company has decided to transfer the rights and obligations of the HUE Works Suite DX Solutions series of businesses and the rights and obligations of the HUE SCM business, respectively, to a wholly owned subsidiary of Works as follows. The transition to the holding company structure does not change the previous policy regarding each business.
With the transition to the holding company structure, not only will management functions and common functions of the group be consolidated in Works to enable flexible and appropriate distribution of management resources, but also each business subsidiary will be managed in accordance with the characteristics and development stage of each business more than ever before, thereby establishing a structure that allows each to focus on their respective business. In addition, we will establish a system that allows each business subsidiary to concentrate on its own business by implementing management more in line with the characteristics and development stage of each business. In addition, by clarifying the authority of each subsidiary and speeding up its decision-making process, we will be able to promptly provide customers with expanded and improved Products/Services.
After the transition to the holding company structure, the Works Applications Group will continue to work together under the same mission and vision to help improve customer satisfaction with our Products / Services.
